1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between subscribing restaurant enterprises, individual branch operators, or authorized administrators ("Customer", "User", or "you") and Nexlance Global Solutions (PVT) Ltd ("Nexlance", "we", "us", or "our"), regarding access to and use of the NexBojun Restaurant Operating System software, applications, portals, and related services (collectively, the "Platform" or "Service").

By logging into, deploying, or utilizing any portion of the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Commercial Scope & Authorized Operations

NexBojun OS is commercially provided, marketed, distributed, and operated by Nexlance Global Solutions (PVT) Ltd as the authorized commercial operating and enterprise solutions provider. Nexlance maintains the official authority to grant commercial subscriptions, conduct implementation, issue invoices, and manage service deployments for subscribing clients.

3. Subscription License & Authorized Use

Subject to compliance with these Terms and active subscription payments, customers are granted a limited, non-exclusive, non-transferable, revocable right to access and use the Platform solely for their internal restaurant and food-service operations.

Under this commercial license, Users shall NOT:

• Decompile, reverse engineer, disassemble, or attempt to derive the underlying source code of the Platform.
• Sublicense, lease, rent, redistribute, or resell access to the software engine to unauthorized third parties.
• Circumvent or tamper with security controls, database boundaries, or user authentication mechanisms.
• Use automated bots or scripts to scrape data from administrative interfaces without written consent.

4. Intellectual Property & Proprietary Rights

The Service is licensed under commercial subscription, not sold. Nothing in these Terms shall be construed as transferring, conveying, or assigning any title, ownership, or underlying intellectual property rights in the software architecture to the Customer, licensees, or any third party.

5. Customer Data & Operational Responsibility

Customers retain full proprietary rights over their operational business data, including menus, ingredient records, staff payroll schedules, and customer transaction logs. Customers are responsible for:

• Maintaining the confidentiality of their branch login credentials and cashier PIN codes.
• Ensuring all transaction processing, taxes, and service charges comply with local legal and regulatory requirements.
• Maintaining appropriate on-site network connectivity and authorized thermal receipt hardware.

6. Disclaimer of Warranties & Limitation of Liability

The Platform is provided on an "as available" basis. While high availability and performance standards are maintained as specified in our Service Level Agreement, we do not warrant that operations will be entirely uninterrupted by external ISP failures or local hardware breakdowns.

To the maximum extent permitted by applicable law, in no event shall the service providers be liable for indirect, incidental, or consequential business interruption damages arising out of the use of the Platform.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka, without giving effect to any principles of conflicts of law. Any legal proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts of Sri Lanka.
